BBC Music’s Biggest Weekend Fringe Partners

Terms and Conditions

This Agreement is made

BETWEEN:

(1) THE BRITISH BROADCASTING CORPORATION of 1 Portland Place, London W1A 1AA (the “BBC”); and

(2) “Fringe Partner”.

1. PURPOSE

The purpose of this agreement is to enable UK Venues to brand live music events, running in the week from Friday 18

May 2018 through to Monday 28

May 2018, under BBC Music’s Biggest Weekend Fringe.

2. THE BBC

  • The BBC will broadcast The Biggest Weekend across the late May Bank Holiday (25-28 May 2018).
  • Coverage is not guaranteed however, The BBC in the Nations & Regions will aim to cover a selection of events happening as part of the Fringe Festival.
  • The BBC will list Fringe Partners listing and line up information online.
  • The BBC will provide digital assets to be used by the Fringe Partners on posters, websites and other print materials.

3. THE FESTIVAL PARTNERS

  • By accepting the Terms and Conditions in this agreement you agree to become a Fringe Partner.
  • You will create public facing event(s) involving local live music or link existing events under the Biggest Weekend Fringe activity.
  • You will ensure the event(s) upholds the BBC’s reputation for delivering public facing live music experiences.
  • You will download and use the branding, following the guidelines for their usage.

4. THE EVENTS

  • Your event will be branded as part of ‘BBC Music’s Biggest Weekend Fringe’. This branding can only be used for events held during 18th May – 28th May 2018.
  • Tickets can be charged and distributed but prices must not be inflated and fall in line with standard market pricing. All costs to be borne by You (though if the BBC decides to set up an outside broadcast at Your event, these costs will be borne by the BBC).
  • You must ensure that the BBC knows about the events and the artists/bands performing, as the BBC may wish to cover your event on TV, Radio or Online.
  • You must ensure any schedule or line up changes are reflected on our listing pages so that they are accurate at all times.
  • The event location shall have appropriate insurance or other appropriate cover for events to be attended by the public and comply with relevant accessibility, health and safety, child protection and data protection legislation.
  • The BBC is not responsible for the safe management and production of these events. Venues, promoters and event organisers will bear the risk and responsibility involved.

5. LISTINGS

  • As a prospective Festival Partner you will register your interest with the BBC.
  • This sign up process will open week commencing 5th March 2018 and will close at 23:59 on 11th May 2018.
  • The BBC have appointed Skiddle as the listing and/or ticketing provider. You must use the Skiddle link provided via email from the BBC to successfully list your event on the Fringe pages. You will need to sign up / join Skiddle’s network and agree to their Terms of Use.
  • Skiddle will in return list the Biggest Weekend Fringe events on their site, under our Biggest Weekend Fringe pages.
  • All Biggest Weekend Fringe events must be listed on Skiddle to provide a comprehensive database of Fringe activity. Any events branded as Biggest Weekend Fringe but not listed on Skiddle will be in breach of these Terms.
  • Venues/Promoters/Organisers can use their existing ticketing suppliers if already in place, providing the event is listed on Skiddle’s Fringe pages. The Skiddle listing can’t contain a website link to purchase tickets externally but can contain the following line:

'contact the venue for ticketing details'

6. BRANDING

  • A link to the branding assets and guidelines for how to use them will be sent to you once you have accepted the Terms and Conditions and have been accepted as a Festival Partner.
  • The branding licence is detailed in Appendix I.
  • By downloading the assets You agree to use the branding set out in the guidelines.
  • The assets can only be used in relation to The Biggest Weekend Fringe.

You agree to take part in the collaborative working and practices of co-operation with the BBC and its other partners to the Biggest Weekend and the Biggest Weekend Fringe.

Privacy Notice

The BBC will collect and process your personal information such as your name, email address and the phone number that you have provided so we can send you updates relating to the Biggest Weekend Fringe. Your personal data will be shared with Monterosa, a third party contracted by the BBC to assist with the Biggest Weekend Fringe and within the BBC for the purpose of running and publicising the Fringe, and will be retained until September 2018 unless a longer retention period is required or permitted by law. Your personal data will not be shared with any other third parties outside of the BBC except as required by law. APPENDIX I

LICENCE FOR USE OF BBC MUSIC’S BIGGEST WEEKEND BRANDING

1 PARTIES
(1) The British Broadcasting Corporation, a public corporation incorporated under the laws of England and Wales by Royal Charter whose principal office is at Broadcasting House, Portland Place, London, W1A 1AA (“BBC”); and
(2) You “the Fringe Partner
Together the “Parties”

2 BBC BRANDING
The Biggest Weekend Fringe branding will be supplied by the BBC via email after sign up.

3 DESCRIPTION OF THE ITEM(S)
Branding for use on posters, flyers and online

4 PURPOSE OF THE ITEM(S)
To promote Festival Partner events during the Biggest Weekend Fringe 18th-28th May 2018

5 PERIOD OF USE
From: the acceptance of the Terms and Conditions
To: 28th May 2018

6 TERRITORY
UK (subject to understanding that Festival Partner sites may not be geoblocked)

The BBC grants to the Fringe Partner a non-exclusive licence to use the Biggest Weekend Fringe branding described in section 2 above (the “BBC Branding”) on the following conditions:

1. The BBC Branding may be used only on the items described in section 3, which must be used only for the purpose set out in section 4 and distributed only in the Territory stated in section 6 (or, if an internet page, directed at that Territory). The Partner’s use of the BBC Branding must be in accordance with the Brand Guidelines.

2. The use will be only as shown on the sample of the items described in Section 3 in respect of the use of the BBC Branding by the Partner.

3. The artwork for any logos used on the items must be as supplied by the BBC.

4. You will use the BBC Branding on publically available items only during the period shown in section 5 above but You will stop using the BBC Branding earlier than the stated end date if instructed to do so in writing by the BBC because You have not complied with the terms of this licence, or because your use of the BBC Branding infringes the rights of the BBC.

5. The manner in which the item(s) is/are used will comply with the BBC’s Fair Trading Guidelines, with any other relevant BBC guidelines notified to you, with any conditions in the Main Agreement, and with any relevant laws, codes of practice, standards and regulations, and will be in keeping with the reputation of the BBC and the Trade Mark(s).

6. You acknowledge that the BBC is the owner of the BBC Branding and any copyright in it/them and of the goodwill relating to it/them, and that the benefit of the use of the BBC Branding by you will belong to the BBC. You will not make or attempt to make any trade mark application in relation to the BBC Branding. The BBC gives no warranty that there are no conflicting third party rights in the BBC Branding in any part of the Territory, and you will indemnify the BBC for any loss which it suffers as a result of your use of the BBC Branding and, if required by the BBC, insure yourself against this liability.

7. You will not use the BBC Branding in any way or for any purpose other than as set out in this licence, nor make use of the name of the BBC or any of its trade marks except under this or any other written licence granted to you by the BBC.

8. If you become aware of any infringement of the BBC’s rights in the BBC Branding or any claim that your use of them infringes anyone else’s rights, you will inform the BBC’s Head of Corporate Legal and Intellectual Property in writing as soon as possible and do nothing further, other than to render to the BBC whatever assistance it reasonably requires in any action which it may take against the infringer or claimant, as the case may be.

9. You will not authorise any third party to use the BBC Branding nor assign, transfer, sublicense or in any other way dispose of your rights under this licence.

10. This licence sets out the entire agreement between the BBC and you in relation to this matter and shall be interpreted in accordance with English law, and any dispute shall be subject to the jurisdiction of the English courts.
